Terms of Service

These Terms of Service ("Terms") govern your use of bio-vault.tech (the "Service") operated by TODO: legal entity name ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and that you are using the Service in compliance with all applicable laws.

3. Founders List and Pre-Launch Status

The Service is currently in a pre-launch phase. Joining the Founders List places you on a notification list for product updates and early-access information. It is not an offer to sell, a binding pre-order, or a guarantee of future product availability, pricing, specifications, or shipping date.

All product specifications listed on the Service are design targets and are subject to change pending manufacturing validation, supplier confirmation, and production testing. Final specifications, pricing, and availability will be communicated separately when public ordering opens.

4. Intellectual Property

The Service, including all text, graphics, logos, images, code, design, and the names "PeptiChill" and "Bio Vault," is the property of TODO: legal entity name or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or create derivative works without our prior written permission. The reconstitution calculator may be used freely as an educational reference; redistribution of the calculator's interface or branding is not permitted.

5. Acceptable Use

When using the Service, you agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, scrape, or otherwise extract source code or data beyond what is publicly served
• Submit false or misleading information through any form
• Use the Service to harass, defame, or harm any person
• Attempt to gain unauthorized access to any system or account
• Interfere with the Service's operation, including by introducing malware, denial-of-service attacks, or excessive automated requests
• Misrepresent the Service or any product offered through it as a medical device, treatment, or therapeutic product

6. User Submissions

If you submit information to the Service (for example, by joining the Founders List or contacting us by email), you grant us a non-exclusive, royalty-free license to use that information to operate and improve the Service. We will not publicly identify you by name or email without your consent. Our use of personal information is further governed by our Privacy Policy.

7. Third-Party Links and Services

The Service may link to third-party websites, products, or services that we do not own or control. We are not responsible for the content, privacy practices, or terms of any third-party site. Visits to external sites are at your own risk and subject to those sites' own terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

We do not warrant that information provided through the Service — including the reconstitution calculator and any educational content — is accurate, complete, current, or appropriate for any particular use. You assume full responsibility for verifying any information before relying on it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR ANY OF OUR OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, your violation of any law, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of TODO: confirm — current draft assumes the State of Ohio, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Service will be resolved in the state or federal courts located in TODO: confirm jurisdiction, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent change. Material changes will be communicated to Founders List members by email. Continued use of the Service after a change constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
